Terms of Service

These terms govern your use of Xyzios. We have written them to be read. Where a term matters to you commercially, it is stated plainly rather than buried.
1. What the service is
Xyzios reads data from systems you connect and gives you analytics, recommendations, and drafted communications for your business. It is a tool for your staff. It is not accounting, tax, legal, or employment advice, and its output should be checked before you rely on it for a decision that matters.
2. Your account
You are responsible for who you give access to and for what they do with it. Tell us promptly if an account is compromised. You must be authorised to bind your business, and you must be old enough to enter a contract where you live.
3. Your data stays yours
You own your data. We claim no ownership of it. We use it to run the service for you, as described in our Privacy Policy, and for nothing else.
We may use aggregated, anonymised data across customers to improve the product and produce industry benchmarks. This never identifies you, your members, or your figures to anyone else.
You can export your data or ask us to delete it at any time — see Data deletion.
4. Connecting other platforms
When you connect a booking, advertising, or analytics account, you confirm you are entitled to grant that access. We read only what the connection allows and only for the features you turned on. You can disconnect at any time, from inside Xyzios or from the platform itself. Those platforms are not ours; if one changes its API or terminates access, features that depend on it may change or stop, and that is outside our control.
5. Messages to your members
This one deserves emphasis. Xyzios drafts; you send. Every member-facing message is queued for a person at your business to approve, edit, or reject, and nothing goes out on its own.
That means messages sent through Xyzios are sent by you. You are responsible for having a lawful basis to contact your members, for honouring opt-outs, and for complying with the rules that apply to marketing messages where you operate — in the US that includes the TCPA and CAN-SPAM. We build the tools to help you comply: opt-out handling, quiet hours, and a record of who approved what. Using them is your call, and the obligation is yours.
6. What you agree not to do
- Upload data you have no right to hold, or use Xyzios to contact people who have not consented to hear from you.
- Resell or white-label the service without a written agreement with us.
- Attempt to access another customer's data, or probe the service for vulnerabilities without asking us first. If you find one, tell us at [email protected] — we would rather hear from you than not.
- Use the service to break the law.
7. Fees
Where a paid plan applies, fees, billing period, and notice are set out in your order or written agreement with us. Where you are using Xyzios under a pilot or proof-of-concept arrangement, that written agreement governs and these terms fill in anything it does not cover.
8. Availability
We work to keep Xyzios running and to keep your data safe, but we do not promise uninterrupted service. We may change or discontinue features. If we make a change that materially reduces what you are paying for, we will tell you in advance.
9. Ending it
You can stop using Xyzios and close your account whenever you like. We may suspend or close an account that breaches these terms or puts other customers at risk — where the circumstances allow, we will warn you first and give you a chance to put it right. On termination you can export your data, and we delete it on the schedule in Data deletion.
10. Warranties and liability
The service is provided "as is". To the extent the law allows, we disclaim implied warranties, and neither party is liable for indirect or consequential losses. Our total liability in any 12-month period is limited to the fees you paid us in that period — or, if you are using Xyzios free of charge, to $100.
Nothing here limits liability that cannot be limited by law, including for fraud.
11. Governing law
These terms are governed by the laws of the State of California, and the state and federal courts located in San Diego County, California have exclusive jurisdiction.
12. Changes
We may update these terms. If a change materially affects your rights, we will email account holders before it takes effect. Continuing to use Xyzios after that means you accept the updated terms.
